Terms & Conditions for B2B Tech Services

1. General Provisions

These Terms and Conditions govern all purchases made through the LabForty Tech online store. By placing an order, you accept these Terms in full.

•These Terms apply to all contracts concluded between the Seller and the Buyer through the online store at labforty.com.
•The Seller reserves the right to amend these Terms. Changes take effect 7 days after publication on the website. Orders placed before the effective date remain subject to the previous version.
•By using this website and placing orders, you confirm that you have read, understood, and agree to these Terms and Conditions.

3. Definitions

BuyerAny natural or legal person who places an order through the online store.

SellerLab40 EOOD, operating under the brand name LabForty Tech.

ConsumerA natural person acting for purposes outside their trade, business, craft, or profession, as defined by EU Directive 2011/83/EU.

Business CustomerA legal entity or natural person acting in the exercise of their trade, business, craft, or profession.

ProductAny goods offered for sale through the online store, including hardware, accessories, and related services.

OrderA request submitted by the Buyer through the online store to purchase one or more Products.

Distance ContractA contract concluded between the Seller and the Buyer under an organized distance sales scheme, without the simultaneous physical presence of both parties, using one or more means of distance communication.

4. Product Information & Prices

•All prices are displayed in Euro (EUR) and include VAT in accordance with Bulgarian tax legislation.
•Product descriptions, specifications, and images are provided for informational purposes and may differ slightly from the actual product due to manufacturer updates or display settings.
•The Seller reserves the right to change prices at any time. Price changes do not affect orders that have already been confirmed.
•Product availability is subject to stock levels. In the event a product becomes unavailable after an order is placed, the Seller will notify the Buyer and offer a refund or alternative.
•In the event of an obvious pricing error, the Seller reserves the right to cancel the order and issue a full refund.

5. Order Process

The order process consists of the following steps:

1Browse our catalog and add the products you need to your cart.
2Review the cart contents, quantities, and total price.
3Proceed to checkout and provide delivery and billing information.
4Complete payment through the secure payment gateway.
5Receive an order confirmation email. The contract is binding upon receipt of confirmation.

The Seller reserves the right to refuse or cancel any order at its discretion, including in cases of suspected fraud, pricing errors, or product unavailability.

6. Payment Terms

Payment is due at the time of placing the order. All transactions are processed securely through Revolut Payment Services.

•Accepted payment methods: Visa, Mastercard, Apple Pay, Google Pay.
•All payments are processed in Euro (EUR).
•Payment processing is handled by Revolut Ltd., an authorized electronic money institution. The Seller does not store credit card details.
•The order will be processed upon successful payment authorization. If payment fails, the order will not be placed.

7. Delivery

•Delivery is carried out by our courier partners: Speedy and Econt (Bulgaria), DPD and DHL (EU).
•Orders are processed within 1-2 business days from the date of payment confirmation.
•Orders over 100 EUR qualify for free shipping within Bulgaria and the EU.
•Delivery times vary depending on your location. Estimated delivery times are provided at checkout.
•The risk of loss or damage passes to the Buyer upon delivery. For consumers, the risk passes only when the Buyer or a designated third party takes physical possession of the goods.

8. Right of Withdrawal

14-Day Return Policy

As a consumer, you have the right to withdraw from a distance contract within 14 calendar days without giving any reason.

•The withdrawal period expires 14 calendar days from the day on which you or a third party designated by you, other than the carrier, acquires physical possession of the goods.
•To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., a letter sent by post or email). You may use the model withdrawal form provided below, but it is not obligatory.
•Upon withdrawal, we will reimburse all payments received from you, including the cost of standard delivery, without undue delay and no later than 14 days from the day we are informed of your decision to withdraw.
•We may withhold the refund until we have received the returned goods or until you have supplied evidence of having sent back the goods, whichever is earliest.
•You shall send back the goods without undue delay and no later than 14 days from the day you communicated your withdrawal. The direct cost of returning the goods is borne by the Buyer.
•You are liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

10. Warranty & Conformity

•All products are covered by the 2-year EU statutory guarantee of conformity in accordance with Directive (EU) 2019/771. This guarantee is provided by the Seller and is independent of any manufacturer warranty.
•The Seller is liable for any lack of conformity that becomes apparent within two years from the date of delivery.
•During the first year from delivery, any lack of conformity is presumed to have existed at the time of delivery unless the Seller proves otherwise.
•The consumer may request repair or replacement of the product free of charge. If neither remedy is possible or disproportionate, the consumer may request a price reduction or contract termination.
•Any commercial guarantee offered by the manufacturer is in addition to, and does not replace, the statutory guarantee of conformity.

11. Limitation of Liability

•The total liability of the Seller for any claim arising out of or related to these Terms shall not exceed the total amount paid by the Buyer for the specific order in question.
•The Seller shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, data, or business opportunity.
•Nothing in these Terms limits or excludes the statutory rights of consumers under applicable EU and national consumer protection laws.
•The Seller is not liable for delays or failures in performance caused by events beyond its reasonable control (force majeure).

12. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the overall design, is the property of LabForty Ltd. or its content suppliers and is protected by international copyright and trademark laws.

•No part of this website may be reproduced, distributed, modified, or used for commercial purposes without the prior written consent of LabForty Ltd.
•Product names, brand logos, and trademarks displayed on this website belong to their respective owners and are used for identification purposes only.

13. B2B Terms

The following provisions apply specifically to Business Customers placing orders in the exercise of their trade, business, craft, or profession:

•Business Customers are not entitled to the 14-day right of withdrawal applicable to consumers under EU Directive 2011/83/EU.
•Payment terms for business orders may differ. Custom invoicing terms, including net-30 payment, may be arranged upon request for qualifying businesses.
•Bulk pricing and volume discounts may be available for business customers. Contact us for a personalized quote.
•Business customers ordering with a valid EU VAT number may be eligible for reverse charge treatment where applicable.

14. Dispute Resolution

In the event of a dispute, we encourage you to contact us first for an amicable resolution.

•If the dispute cannot be resolved amicably, it shall be settled by the competent courts of the Republic of Bulgaria, subject to the applicable provisions of EU law regarding consumer jurisdiction.

15. Data Protection

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Bulgarian data protection legislation.

17. Governing Law

•These Terms and Conditions are governed by the laws of the Republic of Bulgaria.
•For consumers residing in the European Union, the mandatory consumer protection provisions of the country of residence shall also apply, insofar as they provide a higher level of protection.

18. Final Provisions

•If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
•These Terms and Conditions, together with our Privacy Policy and Returns Policy, constitute the entire agreement between you and LabForty Ltd. regarding the use of our online store.
•The failure of the Seller to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
